Welcome to IdeaMatch.ai (“we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of the IdeaMatch.ai website and services (collectively, the “Service”). Our mission is democratizing access to creation by connecting visionary minds with aligned co-creators who share their passion for innovation.

Please read these Terms carefully. By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not access or use our Service.

These Terms constitute a legally binding agreement between you and IdeaMatch.ai. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet all eligibility requirements and that you will not use the Service for any purpose that is unlawful or prohibited by these Terms.

3. Account Registration

To access certain features of the Service, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to disable any user account if, in our opinion, you have violated any provision of these Terms.

4. User Content

The Service allows you to create, upload, post, send, receive, and store content, including ideas, text, graphics, photos, videos, and other materials (“User Content”). You retain all rights in and to your User Content, subject to the licenses granted below.

By submitting User Content to the Service, you grant IdeaMatch.ai a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with providing and promoting the Service.

You represent and warrant that:

• You own or have the necessary rights to your User Content and have the right to grant the license above
• Your User Content does not violate the privacy rights, publicity rights, intellectual property rights, or any other rights of any person
• Your User Content does not contain material that is illegal, offensive, abusive, or otherwise objectionable

We reserve the right to remove any User Content that violates these Terms or that we deem objectionable, in our sole discretion.

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of IdeaMatch.ai and its licensors. The Service is protected by copyright, trademark, and other laws of Canada and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of IdeaMatch.ai.

You acknowledge and agree that the algorithms, code, and systems used by IdeaMatch.ai to match users and ideas are proprietary intellectual property and shall remain the sole and exclusive property of IdeaMatch.ai.

6. Prohibited Uses

You agree not to use the Service:

• In any way that violates any applicable federal, provincial, local, or international law or regulation
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• To impersonate or attempt to impersonate IdeaMatch.ai, an IdeaMatch.ai employee, or another user
• To engage in any data mining, data harvesting, or similar activities
• To upload or transmit viruses, malware, or other malicious code
• To attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service
• To harass, abuse, or harm another person, or to promote discrimination or hate speech
• To engage in any fraudulent or deceptive activity

7. Confidentiality and Idea Protection

While IdeaMatch.ai implements measures to protect your information, we cannot guarantee absolute confidentiality of ideas submitted to the Service. You acknowledge that:

• Other users may submit ideas similar to yours independently
• IdeaMatch.ai is not responsible for protecting the intellectual property rights of your ideas
• You are responsible for taking appropriate measures to protect your intellectual property rights, such as applying for patents, trademarks, or copyrights

We recommend you consider appropriate intellectual property protection before sharing detailed proprietary aspects of your ideas.

8. Fees and Payment

IdeaMatch.ai may offer both free and paid services. For paid services, you agree to pay all fees according to the pricing established at the time of your purchase.

All payments are processed securely through our payment providers. You represent and warrant that you have the legal right to use any payment method you provide in connection with the Service.

We reserve the right to change our prices at any time. If we change our prices, we will provide notice of the change on the website or by email, at our option.

9. Cancellation and Termination

You may cancel your account at any time by following the instructions on the Service or by contacting us.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IdeaMatch.ai does not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.

IdeaMatch.ai makes no warranties or representations about the accuracy or completeness of the content provided through the Service or the content of any sites linked to the Service and assumes no liability for any:

• Errors, mistakes, or inaccuracies of content
• Personal injury or property damage resulting from your access to and use of the Service
• Unauthorized access to or use of our servers
• Interruption or cessation of transmission to or from the Service
• Bugs, viruses, or other harmful code that may be transmitted through the Service

11. Limitation of Liability

IN NO EVENT SHALL IDEAMATCH.AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction. In no event shall our total liability to you for all damages, losses, or causes of action exceed the amount you have paid to IdeaMatch.ai in the last six (6) months, or, if greater, one hundred dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless IdeaMatch.ai and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

This defense and indemnification obligation will survive these Terms and your use of the Service.

13. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms or the Service shall be resolved through good faith negotiation. If such dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in Toronto, Ontario in accordance with the Arbitration Act of Ontario, with one arbitrator to be appointed by mutual consent.

You agree that any arbitration shall not be conducted as a class arbitration and that any dispute shall be brought individually and not as part of a class action.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes, we will post the revised Terms on this page and update the “Last Updated” date at the top of these Terms.

Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes.
